Mergers and Acquisitions

According to the Art. 92 of the Civil Code of the Kyrgyz Republic, a reorganization of a legal entity can be carried in the following forms:

  • transformation - this is the form in which there is a conversion from one form of incorporation of a legal entity to another (for example, from LLC “A” to CJSC “A”);
  • merger - this is the form in which two or more legal entities are merged into one legal entity (for example, LLC "A" + LLC "B" = LLC "C");
  • amalgamation - this is the form in which one or more legal entities joins with another existing legal entity (for example, LLC “A” joins LLC “B” = LLC “B” with all assets, rights and obligations of LLC “A”);
  • division - this is the form in which one legal entity divides into two or more new legal entities (for example, LLC “A” separates to LLC “B” and LLC “C”, with each new LLC being an independent legal entity with assets, rights and obligations of LLC “A” in accordance with the separation balance sheet);
  • separation - this is the form in which one or more legal entities are separated from one legal entity (for example, LLC “B” is separated from LLC “A”= LLC “A” exists further as an independent legal entity, and LLC “B” also carries out independent activities as a legal entity with endowed part of the assets, rights and obligations of LLC “A” in accordance with the separation balance sheet).

In general, the reorganization procedure in any form is quite complicated and lengthy process, while each of the reorganization forms has certain nuances and first of all legal ones.
